Position Summary
The Chief of Operations (COO) serves as the senior operational executive for a Nevada-based Taft-Hartley self-funded health clinic with three locations, providing strategic leadership, regulatory oversight, and day-to-day operational management. This position integrates the responsibilities of Executive Director, Compliance Officer, and Facility Safety Officer in alignment with the fiduciary, regulatory, and governance requirements of a jointly administered union/employer trust.

The Chief of Operations is accountable to the Board of Trustees, comprised of equal union and employer representatives, and is responsible for ensuring that clinic operations are conducted solely in the interest of plan participants and beneficiaries, consistent with ERISA fiduciary standards, the Taft-Hartley Act, and applicable Nevada law.

The position will be subject to an employment contract, and is an overtime-exempt, executive full-time position.

Reporting and Governance Structure

Reports directly to: Board of Trustees (or Board-designated Executive Committee)
Authority derived from: Trust Agreement and Plan Documents
Works collaboratively with:

  • Union and employer trustees
  • Medical Director
  • Third-Party Administrators (TPAs)
  • Legal counsel, actuaries, auditors, and regulators

The Chief of Operations operates within the authority delegated by the Board and does not exercise discretion reserved to Trustees under the Trust Agreement.

Core Responsibilities

Executive Leadership and Trust Administration (Executive Director Function)

  • Serve as the principal administrative and operational executive for the health clinic.
  • Implement policies, objectives, and strategic direction as adopted by the Board of Trustees.
  • Administer clinic operations in strict accordance with the Trust Agreement, Plan Documents, and Board resolutions.
  • Prepare and present operational, financial, compliance, and utilization reports to the Board.
  • Support the Board in fulfilling its fiduciary obligations by providing accurate, timely, and decision-relevant information.
  • Act as the primary point of contact between the clinic and union/employer stakeholders, ensuring neutrality and balanced administration.

Compliance and Regulatory Oversight (Compliance Officer Function)

  • Ensure full compliance with all applicable federal, Nevada state, and local laws and regulations, including but not limited to: Federal Requirements - Employee Retirement Income Security Act (ERISA) - Labor Management Relations Act (Taft-Hartley Act) - HIPAA and HITECH privacy and security rules - Affordable Care Act (ACA) - OSHA workplace safety standards - Federal labor and employment laws - Nevada-Specific Requirements - Nevada Revised Statutes (NRS) as applicable to clinics.
  • Key Compliance Duties: - Design, implement, and maintain a formal Compliance Program tailored to a Taft-Hartley trust environment. Serve as the clinic’s designated Compliance Officer and primary liaison with regulators and auditors. Oversee internal and external audits, corrective action plans, and regulatory filings. Ensure policies governing privacy, security, records retention, and internal controls are maintained and enforced. Monitor regulatory changes and advise the Board on operational or fiduciary impacts.

Clinical Operations and Vendor Oversight

  • Oversee nonclinical operations supporting medical services while respecting clinical independence of licensed providers.
  • Partner with the Medical Director to promote quality, access, and cost-effective care for plan participants.
  • Assist the Board to monitor contracts with TPAs, pharmacy benefit managers, and laboratories; directly oversee and monitor contracts with IT vendors and facility service providers.
  • Work with trust counsel to ensure vendor relationships comply with ERISA prohibited transaction rules and Trust Agreement provisions.
  • Evaluate vendor performance using objective metrics and report findings to the Board.

Financial and Fiduciary Management

  • Administer clinic finances consistent with ERISA fiduciary and fidelity standards of prudence and loyalty.
  • Develop annual operating budgets and capital plans for Board approval.
  • Monitor expenses, utilization, and cost-containment initiatives related to clinic operations.
  • Coordinate with actuaries and TPAs to analyze claims and utilization data impacting the Trust.
  • Ensure transparent, accurate financial reporting and sound internal controls.
  • Support annual independent audits and governmental reporting requirements.

Clinic Management and Safety (Clinic Safety Officer Function)

  • Serve as the designated Facility Safety Officer under Nevada and federal law.
  • Ensure compliance with:
    • Nevada building, fire, and life-safety codes
    • OSHA and Nevada OSHA requirements
    • Infection control and workplace safety standards
  • Develop and maintain:
    • Emergency preparedness and disaster response plans
    • Workplace violence prevention and incident reporting protocols
    • Safety training programs and drills
  • Conduct regular facility inspections, safety audits, and incident investigations.
  • Ensure timely reporting and corrective actions for safety-related incidents.

Human Resources and Labor-Sensitive Administration

  • Oversee human resources functions consistent with Trust policies and applicable labor laws.
  • Ensure employment practices with respect to collective bargaining considerations where applicable.
  • Maintain neutrality in labor-management relations while administering Trust operations.
  • Promote a culture of compliance, safety, accountability, and participant-focused service.

Qualifications

Education

  • Bachelor’s degree in healthcare administration, business administration, public health, or a related field (required)
  • Master’s degree (MHA, MBA, MPH, JD, or similar) preferred

Experience

  • Minimum of 7–10 years of senior healthcare leadership experience
  • Demonstrated experience with Taft-Hartley trusts, self-funded health plans, or union/employer benefit programs strongly preferred
  • Direct experience with regulatory compliance, audits, and board governance
  • Experience operating health clinics / doctors’ offices within Nevada’s regulatory environment preferred

Knowledge & Skills

  • Working knowledge of union/employer-sponsored Taft-Hartley trust funds
  • Working knowledge of Nevada healthcare licensing and OSHA requirements
  • Strong financial, operational, and risk management skills
  • Ability to communicate effectively with union and employer trustees
  • High ethical standards, discretion, and commitment to confidentiality

Position Authority and Limitations

  • Authority limited to that delegated by the Board of Trustees under the Trust Agreement
  • No authority to amend plan benefits or exercise Trustee discretion unless expressly authorized
  • Authorized to implement operational, compliance, and safety policies consistent with Board direction
